1. Introduction and Acceptance

These Terms of Service ("Terms") govern access to and use of the niroq website, software, and related services (collectively, the "Services") provided by niroq Technologies Inc. ("niroq," "we," "us," or "our").

By creating an account, accepting an order form, or accessing or using the Services on behalf of an organization, you represent that you are authorized to bind that organization and agree to these Terms. If you do not agree, do not access or use the Services.

If a separately signed agreement or order form conflicts with these Terms, the signed agreement or order form will control to the extent of the conflict.

2. Definitions

"Customer" means the business or organization that registers for or purchases the Services. "Workspace" means the Customer's account environment. "Authorized User" means an employee, contractor, or other person the Customer permits to access its Workspace. "Branch" means a business location configured within a Workspace. "Customer Data" means information submitted to or generated through the Services by or for the Customer and its Authorized Users.

"Subscription" means a paid or trial access plan if offered and agreed. "Third-Party Services" means products, platforms, or integrations not operated by niroq.

3. Eligibility and Business Accounts

The Services are intended for business and organizational use. You must provide accurate registration and contact information, keep it current, and use the Services only for lawful business purposes.

The Customer is responsible for its Workspace, its Authorized Users, all activity under its credentials, and maintaining the confidentiality of passwords and authentication factors. Notify niroq promptly at hello@niroq.me if you suspect unauthorized access.

4. Companies, Workspaces and Branches

A Customer may configure one or more Branches within its Workspace if the relevant functionality is available. The Customer is responsible for choosing the correct organization and Branch settings and for ensuring that data is entered into the appropriate Workspace.

Separate organizations must not share credentials or attempt to access another organization's data without authorization. A subdomain, workspace name, or user-supplied identifier does not itself grant permission to access data.

Branch availability, shared client records, consolidated reporting, and role configuration depend on the product features enabled for the Customer's account.

5. Roles, Permissions and Account Security

The Customer is responsible for assigning access rights appropriate to each Authorized User, reviewing permissions when roles change, and promptly removing access when it is no longer needed.

Users must not circumvent access controls, impersonate another user, share credentials in a way that compromises security, or attempt to access another Customer's data. niroq may restrict access where reasonably necessary to investigate suspected compromise or misuse.

6. Service Scope and Development Status

The Services may include business scheduling, client relationship records, staff and Branch administration, operational records, and related tools as expressly made available to the Customer. Features can differ by plan, release, location, and configuration.

Some functionality may be in development, limited-release, experimental, or unavailable. Website descriptions are informational and do not guarantee that a feature is currently available to every Customer. The applicable order form, in-product description, or written confirmation from niroq governs the features included in a Customer's plan.

Unless expressly agreed in writing, the Services do not represent a payment processor, banking service, tax adviser, legal adviser, or substitute for the Customer's own business records and compliance obligations.

7. Subscription Fees and Payment

If niroq offers paid plans, the applicable fees, billing interval, taxes, trial period, renewal terms, and payment method will be stated in the order form, checkout, or other written agreement accepted by the Customer.

No fee, automatic renewal, refund policy, or payment-processing capability is created by these Terms unless it is presented to and accepted by the Customer. The Customer is responsible for applicable taxes except taxes based on niroq's net income, where the law provides otherwise.

8. Acceptable Use

The Customer and Authorized Users must comply with applicable law. They must not use the Services to:

  • Send unlawful, deceptive, abusive, or unsolicited communications
  • Infringe intellectual property or privacy rights
  • Upload malicious code
  • Probe or disrupt infrastructure
  • Bypass security controls
  • Scrape or reverse engineer the Services except to the extent such restrictions are prohibited by law
  • Facilitate fraud or unlawful discrimination

niroq may investigate credible reports of misuse and take proportionate action, including requesting remediation, suspending affected access, or terminating access as permitted by these Terms and applicable law.

9. Customer Data and Responsibilities

As between the parties, the Customer retains its rights in Customer Data. The Customer grants niroq a limited, non-exclusive right to host, reproduce, transmit, display, and otherwise process Customer Data only as necessary to provide, secure, support, and maintain the Services, comply with law, and perform the agreement.

The Customer represents that it has all rights, permissions, notices, and lawful grounds needed to provide Customer Data and instruct niroq to process it. The Customer must not submit information it is not authorized to disclose or use.

The Customer is responsible for the accuracy and lawfulness of its business records, appointment details, client communications, staff information, loyalty programs, and other content it enters into the Services.

10. Personal Data and Data Processing

Where niroq processes personal data on behalf of the Customer, the parties' roles and obligations will be set out in the applicable Data Processing Agreement ("DPA"), which is incorporated into the agreement where executed or expressly accepted.

The Customer is generally responsible for determining the purposes and lawful basis of processing Customer Data, providing notices, obtaining required permissions, handling requests from individuals, and configuring access appropriately. niroq will process Customer Data according to the applicable agreement and documented lawful instructions.

11. Third-Party Services and Integrations

The Services may enable connections to third-party services. Those services are governed by their own terms, privacy notices, availability, and technical requirements. niroq is not responsible for third-party services it does not control.

The Customer authorizes the relevant data exchange when it enables an integration and is responsible for ensuring it has authority to connect accounts and share the relevant data. Third-party services may change or discontinue their functionality, and niroq may need to modify or remove an integration as a result.

12. Messaging and WhatsApp

If messaging features are made available, the Customer is responsible for obtaining any required consent, maintaining appropriate opt-out records, using approved templates where required, honoring communication preferences, and complying with applicable messaging laws and provider policies.

Message delivery, timing, pricing, template approval, and availability may depend on third-party providers and telecommunications networks. niroq does not guarantee delivery or read receipts unless expressly agreed in writing.

13. Service Availability and Changes

niroq will use reasonable efforts to maintain the Services, but does not guarantee uninterrupted, error-free, or continuously available operation unless a separate service-level agreement expressly provides otherwise.

We may update, modify, or discontinue features to improve security, comply with law, respond to third-party changes, or develop the product. Where reasonably practicable, we will provide notice of material changes that adversely affect a paid feature.

14. Intellectual Property

niroq and its licensors retain all rights in the Services, software, design, documentation, trademarks, and related materials, excluding Customer Data and third-party materials. Except for the limited right to use the Services during the applicable term, no intellectual property rights are transferred to the Customer.

The Customer grants niroq permission to use its name and logo only as reasonably necessary to provide the Services. niroq will not publicly identify the Customer as a customer in marketing materials without permission, unless otherwise agreed in writing.

15. Confidentiality

Each party may receive non-public information from the other party. The receiving party will use reasonable care to protect such information and use it only for purposes of the agreement, and will disclose it only to personnel and advisers who need to know and are subject to confidentiality obligations, or as required by law.

Confidentiality obligations do not apply to information that is public without breach, already lawfully known, independently developed, or lawfully received from a third party without a duty of confidentiality.

16. Suspension and Termination

The Customer may stop using the Services at any time, subject to any accepted Subscription terms. Either party may terminate an agreement for material breach if the breach remains uncured after written notice and a reasonable cure period, unless immediate termination is permitted or required by law.

niroq may suspend access where reasonably necessary to address a security risk, legal requirement, material violation, non-payment under an accepted paid plan, or activity that threatens the Services or other users. Where practicable, niroq will give notice and an opportunity to remedy the issue.

On termination, the Customer's right to access the Services ends. Data export, retention, and deletion will be governed by the applicable DPA, order form, and documented retention schedule. The Customer should export data before access ends where export is available.

17. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided "as is" and "as available," except for express commitments in a signed agreement. niroq disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the extent permitted by law.

niroq does not warrant that the Services will meet every business requirement, prevent all data loss, or ensure the Customer's compliance with laws. The Customer remains responsible for its own business decisions, client relationships, records, and legal obligations.

18. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, arising out of or related to the agreement, even if advised of the possibility of such damages.

To the maximum extent permitted by law, each party's aggregate liability arising out of or related to the Services will be limited to the fees paid or payable by the Customer to niroq for the Services during the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

19. Indemnification

To the extent permitted by law, the Customer will defend or settle third-party claims arising from its unlawful use of the Services, Customer Data, or violation of these Terms, and will indemnify niroq for damages and reasonable costs finally awarded or agreed in settlement, provided niroq gives prompt notice and reasonable cooperation. The Customer will not settle a claim in a way that admits liability on behalf of niroq or imposes obligations on niroq without niroq's prior written consent.

20. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Santa Clara County, California, and each party consents to the personal jurisdiction of those courts.

21. Changes to These Terms

We may update these Terms from time to time. We will revise the effective date when changes are published and provide additional notice where required by law or the applicable agreement. Continued use after an effective update may constitute acceptance where permitted by law.

22. General Provisions

If any provision is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law. A party's failure to enforce a provision is not a waiver. The Customer may not assign the agreement without niroq's consent, except as permitted by law or in connection with a merger or sale of substantially all relevant assets. niroq may assign the agreement as part of a merger, reorganization, or sale of its business, subject to applicable law.

These Terms, together with any accepted order form, DPA, and incorporated policies, form the agreement regarding the Services and supersede prior discussions on the same subject, subject to any signed master agreement.
